1. Acceptance of Terms

By accessing or using ProSchool360, you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, do not use the platform.

2. Description of Service

ProSchool360 provides a cloud-based school management platform designed to automate administrative tasks, academic tracking, and communication for educational institutions.

3. User Responsibilities

Users are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account. Schools are responsible for ensuring that all users (staff, students, parents) comply with these terms.

4. Data Privacy and Security

Our collection and use of information are governed by our Privacy Policy. Schools are responsible for obtaining necessary consents from students and parents for data processing within the platform.

5. Intellectual Property

The ProSchool360 platform and its original content, features, and functionality are owned by ProSchool360 and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Service Level Agreement (SLA) & Uptime Guarantee

ProSchool360 is committed to providing a reliable, high-performance school management platform. We guarantee a 99.9% uptime for all paid cloud-hosted services, excluding scheduled maintenance periods which will be announced 48 hours in advance. In the rare event of service disruption, our engineering team is available 24/7 to resolve critical issues.

7. Refund and Cancellation Policy

We want you to be completely satisfied with ProSchool360. All subscription purchases include a 14-day free trial to explore the full suite of modules before any billing. You may cancel your subscription at any time through your admin dashboard. Since our services are billed in advance, we do not offer pro-rata refunds for active billing cycles. Upon cancellation, your data will remain accessible until the end of the current paid billing term, after which it will be safely archived.

8. Limitation of Liability

In no event shall ProSchool360 be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

9. Termination

We may terminate or suspend access to our platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Bhiwani, Haryana.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of significant changes.

12. Dispute Resolution & Indian Arbitration Act

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, breach, termination, or validity thereof, shall be referred to and finally resolved by arbitration in accordance with the provisions of the Indian Arbitration and Conciliation Act, 1996 (as amended from time to time). The seat of arbitration shall be Bhiwani, Haryana, India. The language of arbitration shall be English, and the arbitral tribunal shall consist of a sole arbitrator mutually appointed by both parties.

13. Data Processing Addendum (DPA)

For educational institutions utilizing ProSchool360 to process student, parent, or staff personal data, the school acts as the Data Fiduciary (Controller) and ProSchool360 acts as the Data Processor. ProSchool360 shall only process personal data in accordance with the documented instructions of the school and in compliance with security guidelines. Both parties agree to implement appropriate technical and organizational measures to safeguard data against unauthorized processing or breach.

14. Digital Personal Data Protection (DPDP) Act 2023 Compliance

In accordance with India's Digital Personal Data Protection (DPDP) Act, 2023, ProSchool360 ensures: (a) Student data is processed solely for lawful educational and administrative functions as authorized by the school; (b) Safe and encrypted databases are maintained with daily backup systems; (c) Prompt assistance is provided to schools for fulfilling data principal rights (such as access, correction, or deletion requests); and (d) Immediate notification to the school in the event of a suspected or actual personal data breach.

15. Acceptable Use Policy

Users shall not utilize ProSchool360 for: (a) Transmitting harmful, unlawful, or offensive content; (b) Probing, scanning, or testing system vulnerabilities without explicit authorization; (c) Launching denial-of-service (DoS) attacks or sending spam communications; or (d) Attempting unauthorized access to another school's data. Any breach of this acceptable use policy shall result in immediate account termination.
